Vancouver, Canada, December 4, 2020 – GreenPower Motor Company Inc. (Nasdaq: GP) (TSXV: GPV) (the “Company”) a leading manufacturer and distributor of zero emissions electric powered vehicles serving the cargo and delivery, transit and school bus markets announces that the Company has granted an aggregate of 20,000 incentive stock options with 5,000 stock options to each of its four outside directors: Mark Achtemichuk, Malcolm Clay, Cathy McLay and David Richardson. The stock options are subject to the approval of the TSX Venture Exchange and are exercisable for a period of five years at a price of US $20 per share. The stock options vest as to 25% three months after the grant date, 25% six months after the grant date, 25% nine months after the grant date and 25% twelve months after the grant date. The Board also approved annual Directors fees to these four outside directors of U.S. $25,000 per annum plus U.S. $5,000 per annum to each chair of a committee.

Zero Emissions Shuttles to be used in Micro Transit and Vanpool Application

Los Angeles, California, November 25, 2020 – GreenPower Motor Company Inc. (NASDAQ: GP) (TSXV: GPV) (“GreenPower”), a leading manufacturer and distributor of zero emissions electric powered medium and heavy duty vehicles, announced via Green Commuter, that two EV Stars will be deployed in Los Angeles County in the Basset and Avocado Heights neighborhoods under a California Energy Commission Grant.

The Energy Coalition is California-based, non-profit and the primary grantee on the project which will provide locally produced renewable electricity to 235 households through a community solar tariff structure. The project will also provide 50 homes with no-cost solar and residential battery storage, and develop an electric vehicle (EV) mobility service, EV charging infrastructure, and a community carbon management system.

Green Commuter is providing mobility services such as microtransit and vanpooling along with the charging infrastructure for the Basset Avocado Advanced Energy Community (BAAEC) project. GreenPower Motor Company Receives Second Order from Top Rated University; Purchase Supported by Funding from VW Mitigation Settlement

Los Angeles, California, November 24, 2020 – GreenPower Motor Company Inc. (NASDAQ: GP) (TSXV: GPV) (“GreenPower”), a leading manufacturer and distributor of zero emissions electric powered medium and heavy duty vehicles, announces that the University of California, Los Angeles (“UCLA”) will add a third EV Star to their fleet.

The first two GreenPower EV Star Min-E shuttles ordered by UCLA Transportation are being used by UCLA Health and are transporting patients and visitors, as well as staff and faculty working at the medical centers. The third unit will be used for Bruinaccess which is a complimentary paratransit service provided by UCLA for qualified individuals curb to curb rides from most points on or near campus. The initial order was delivered in the summer of 2020 and has received incredibly positive feedback from the operators and fleet managers. The third unit was delivered in the early part of November. Part of the EV Star purchase was covered by the California VW Mitigation settlement which covers up to $160,000 of the vehicle cost and requires the scrapping of a model year 2009 with a GVWR of over 14,000 lbs.

California Schools Continue Transition to Zero-Emissions Transportation

Los Angeles, California, November 13, 2020 – GreenPower Motor Company Inc. (NASDAQ:GP) (TSXV:GPV) (“GreenPower”) a leading manufacturer and distributor of zero emissions electric powered vehicles serving the cargo delivery, shuttle, transit, and school bus markets, today announced the sale of six electric school buses (B.E.AS.T.), to Thermalito Union Elementary School District through Greenpower’s national distributor Creative Bus Sales.

GreenPower’s “B.E.A.S.T.” Type D Battery Electric School Bus

The B.E.A.S.T. is a purpose-built Type D Battery Electric School bus with a leading class range of up to 150 miles and a 194.5kWh battery pack. The vehicles can charge up to 20KW on standard J1772 protocol and has CCS1 fast charging, with additional standard features like air ride suspension, pass through storage, and air disk brakes. The B.E.A.S.T. offers a Monocoque chassis design built from the ground up to be battery electric.

Butte County Air Quality Management District (AQMD) will be funding the purchase of one school bus through their clean vehicle incentive program. AQMD’s mission is to protect the community and the environment of Butte County from the harmful effects of air pollution. Their clean vehicle incentive programs offer grants to aid in the reduction of emissions and the impact of air quality.

Five of GreenPower’s electric school buses will be funded through the California Clean Energy Jobs Act (CEC) Prop 39. The CEC Prop 39, has awarded schools more than $1.7 billion over the last five years to plan and install energy efficiency upgrades, clean energy generation measures, and zero emissions transportation.

Vancouver, Canada – November 12th, 2020 – GreenPower Motor Company Inc. (Nasdaq:GP) (TSXV:GPV) (“GreenPower”), a leading manufacturer and distributor of zero emission electric powered vehicles serving the cargo and delivery, shuttle, transit and school bus markets, today announced financial results for its fiscal second quarter ended September 30, 2020.

“With cash in the bank from our equity raise and uplisting to Nasdaq we’ve launched a multi- faceted effort to increase production and pursue relationships that can drive repeat orders” said Fraser Atkinson, CEO of GreenPower. “Historically we’ve produced vehicles for sales from specific customer orders. Now we can accelerate production, shorten timelines for deliveries, improve cost and terms from suppliers to support larger purchase orders which will be the drivers for GreenPower to attain profitability.”

Highlights of the second quarter:

  • Completed the Company’s uplisting to the Nasdaq stock exchange under the symbol “GP” and raised gross proceeds of $37.7 million before underwriting fees and expenses;
  • Reported revenue of $2.8 million generating a gross profit of 31.2% of revenue;
  • Cash expenditures of $1.7 million before sales in line with prior four quarters;
  • Completed and delivered a total of 21 buses, including 20 EV Stars to Green Commuter, and one all-electric school bus to Creative Bus Sales;
  • Received orders for 100 EV Stars and 10 all-electric BEAST school buses;
  • Increased production of EV Stars to 20 per month, expected to start delivering in two quarters, representing potential quarterly revenue of over $8million;
  • Initiated production of 5 B.E.A.S.T school buses per month, expected to start delivering in mid-2021, represents potential quarterly sales of over $5 million;
  • The EV Star was selected as an eligible vehicle for the MBTA and Calact purchasing co-operative contract, which covers the purchase of up to 150 zero-emission vehicles per year;
  • Entered into a dealership agreement with ABC Bus, Inc. covering the state of New York providing for the purchase of up to 100 vehicles over three years;
  • Announced the launch of the EV Star CC “Cab and Chassis” for cargo and delivery market;
  • Completed the first EV Star Cargo+ vehicle to serve the cargo and delivery market;
  • Progressed production of various models, including EV Stars, EV Star cab and chassis, EV Star+, BEAST school buses, and EV 250 thirty-foot low floor transit buses;
  • Continued the development of an autonomous EV Star with Perrone Robotics for Jacksonville Transit Authority;
  • Conducted demonstrations of a range of Greenpower vehicles to potential customers across several US states, laying the groundwork for potential future sales;
  • Continued to effectively manage our business operations to navigate impacts from the COVID-19 pandemic.

Results for the three months ended September 30, 2020
For the three-month period ended September 30, 2020 the Company recorded revenues of $2,835,411 and cost of revenues of $1,951,692 generating a gross profit of $883,719 or 31.2% of revenues. Revenue was generated from the delivery of 20 EV Stars for which the Company provided lease financing, from the sale of one all-electric school bus, from the sale of parts, and other sources. Operating costs consisted of administrative fees of $860,243; transportation costs of $26,755; travel, accommodation, meals and entertainment costs of $68,008; product development costs of $235,699; sales and marketing costs of $62,574; professional fees of $61,650; and office expense of $149,589, as well as non-cash expenses including $117,737 of share-based compensation expense and depreciation of $117,471, generating a loss from operations before interest, accretion and foreign exchange of $836,391. Interest and accretion on the line of credit, convertible debentures and promissory notes totalled $505,589, and a foreign exchange loss of $144,179 resulted in a loss for the period of $1,486,160.

Non-cash expenses consisting of depreciation, accretion and accrued interest, share-based compensation, warranty accrual and amortization of deferred financing fees totaled $667,415 in the three-month period resulting in total cash expenses of $1,702,463.

Results for the six months ended September 30, 2020
For the six-month period ended September 30, 2020 the Company recorded revenues of $5,107,666 and cost of revenues of $3,605,364 generating a gross profit of $1,502,302 or 29.4% of revenues. Revenue was generated from the sale of 38 EV Stars for which the Company provided lease financing, from the sale of one all-electric school bus, from the sale of parts, and other sources. Operating costs consisted of administrative fees of $1,718,173; transportation costs of $53,496; travel, accommodation, meals and entertainment costs of $104,861; product development costs of $456,808; sales and marketing costs of $53,044; professional fees of $158,076; and office expense of $200,548, as well as non-cash expenses including $249,769 of share-based compensation expense and depreciation of $232,232, generating a loss from operations before interest, accretion and foreign exchange of $1,711,536. Interest and accretion on the line of credit, convertible debentures and promissory notes totalled $1,060,908, and a foreign exchange loss of $143,053 resulted in a loss for the period of $2,915,497.

Los Angeles, California, September 30, 2020 – GreenPower Motor Company Inc. (NASDAQ: GP) (TSXV: GPV) (“GreenPower”), a leading manufacturer and distributor of zero emissions electric powered medium and heavy-duty vehicles, today announced a formal dealership agreement with ABC Bus, Inc. (“ABC”) that will cover the State of New York. The agreement provides for 100 vehicles to be purchased by ABC over the next 36 months including the purchase of two EV Stars within thirty days.

ABC was founded in 1950 and has 10 locations with over 500 employees across the United States. GreenPower and ABC are poised to capitalize on the various funding programs across the state of New York including the clean trucks NYSERDA program and the New York Voucher Incentive Program which provides incentives for up to $100,000 of the purchase price for Class 4 battery electric trucks and transit buses and up to $90,000 of the purchase price for Class 4 battery electric school and shuttle buses.

“The State of New York has set an ambitious goal of being carbon neutral by 2050. Transportation is the low hanging fruit and New York can immediately begin making progress towards this goal by deploying GreenPower zero emissions vehicles within their fleets,” stated Brendan Riley, President of GreenPower. “By partnering with ABC in this territory, our future customers will be taken care of by one of the most respected transportation solutions providers in the country. Company Comments on Governor Newsom’s Executive Order Signed This Week Increasing Volumes of Medium and Heavy-Duty Vehicles Sold and Operated in California to 100% Zero-Emissions by 2045

Los Angeles, California, September 25, 2020 – GreenPower Motor Company Inc. (NASDAQ: GP) (TSXV: GPV) (“GreenPower”), a leading manufacturer and distributor of zero emissions electric powered medium and heavy duty vehicles, announces that GreenPower’s EV Star has been selected as an eligible vehicle for the Morongo Basin Transit Authority (“MBTA”) and California Association for Coordinated Transportation (“CalACT”) purchasing cooperative RFP for zero emissions shuttles. This two-year contract allows CalACT members, including transit authorities, other public agencies and non-profits assigned by MBTA, to purchase up to 150 zero-emission vehicles per year. GreenPower’s dealer Creative Bus Sales is only one of four dealers, representing select models of electric shuttles, including GreenPower’s EV Star, that are qualified to sell under the contract.

CalACT/MBTA provides a California State compliant purchasing solution that allows transit properties to meet their procurement needs and get the vehicle they want in an expedited purchasing cycle that does not require a lengthy RFP process. GreenPower’s EV Star is the only vehicle out of several all-electric vehicles that are eligible for purchase under the contract that has been Altoona tested and can be built under Buy America Compliance.

On September 23, 2020 Gavin Newsom, the Governor of the State of California, signed executive order number N-79-20 directing the Air Resource Board to develop medium and heavy-duty vehicle regulations requiring increasing volumes of new zero-emission trucks and buses sold and operated in California towards the target of 100% zero-emission vehicles by 2045. The Executive Order also requires a Zero-Emissions Vehicle Market Development Strategy by January 31, 2021.

Largest North American Zero Emissions Vanpool Continues Fleet Expansion

Los Angeles, CA, September, 8, 2020 – GreenPower Motor Company Inc. (NASDAQ: GP) (TSXV: GPV) (“GreenPower”), a leading manufacturer and distributor of zero emissions electric powered medium and heavy duty vehicles, announced today the delivery of Green Commuter’s next tranche of 20 EV Stars.

Green Commuter is a Los Angeles based shared mobility company that provides zero emissions solutions for vanpools, employee transportation, and delivery vehicles. Green Commuter has placed three separate orders for EV Stars with the first order consisting of three vehicles, followed by two separate orders of 100 vehicles, for a total of 203 EV Stars. After this delivery of 20 units, there will be 28 EV Stars remaining on the initial 100 unit order which are expected to be delivered this calendar year, with the second 100 unit order expected to be delivered in 2021. To date, Green Commuter has taken delivery of 71 EV Stars.

“Even through the pandemic, Green Commuter has continued to take a steady delivery of EV Stars, highlighting the combination of strong end demand and their ability to leverage available incentives to improve the economics of this transaction for GreenPower, Green Commuter and the end user,” stated Brendan Riley, President of GreenPower. “Green Commuter continues to utilize California HVIP vouchers, making the vehicle more affordable for the end user while providing all the environmental benefits of a zero emissions electric vehicle. The EV Star is the only bus in its class that comes with a standard J1772 level 2 and CCS DC fast combo charge system, allowing for optimal flexibility in route planning for any duty cycle. The bus is eligible for a base voucher of $90,000 from the California HVIP program and an additional voucher of $10,000 when the vehicle is operated in a disadvantaged community.
